18. Miscellaneous
18.1 A person that is not a party to this Agreement shall not have any rights under or in connection with this Agreement.
18.2 If any court or competent authority finds that any provision of this Agreement (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of this Agreement shall not be affected. If any invalid, unenforceable or illegal provision of this Agreement would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
18.3 A waiver of any right or remedy under this Agreement is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. No failure or delay by a party to exercise any right or remedy provided under this Agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.
18.4 Except as expressly provided in this Agreement, the rights and remedies provided under this Agreement are in addition to, and not exclusive of, any rights or remedies provided by law.
18.5 Blink may, at any time, vary the terms of this Agreement by the provision of a minimum of 30 days’ notice to the Partner; in the event that the Partner does not agree to the variation, it may terminate this Agreement on the provision to Blink of not less than 20 days’ notice, such notice to take effect at the end of the 30-day notice period in respect of the variation. Notwithstanding the foregoing, Blink may vary Compensation hereunder to pass through increases in its own costs associated with the Merchant Services without prior consent of Partner but shall provide prior notice where it has itself received prior notice of the change. No other change to this Agreement shall be binding unless it is agreed in writing signed by each of the parties (and in such instance of a change agreed between the parties, “writing” shall not include email).
18.6 Any provision of this Agreement that expressly or by implication is intended to come into force or continue in force on or after termination or expiry of this Agreement shall remain in full force and effect, including Clauses 1, 4.1, 4.6, 4.12, 5.1, 7, 9, 10, 11, 12, 13, 14, 15, 16, 17 and 18.
